Dialogit Protocol License

This Dialogit Protocol License ("License") governs Your use of the Dialogit Protocol (“Licensed Material”), and any modified version of it (“Adapted Material”). By using the Licensed Material or Adapted Material, You accept and agree to be bound by the terms and conditions of this License.

Section 1 – Definitions. a. Adapted Material means material that is derived from or based upon the Licensed Material and in which the Licensed Material is translated, altered, arranged, transformed, or otherwise modified. b. Licensed Material means the version of Dialogit Protocol on which this License applies. New versions of the Licensed Material may be published from time to time. These new versions may incorporate material that was previously considered Adapted Material. c. Primary Licensor means the author and owner of all rights, including copyrights and other intellectual property rights, in the concept, core elements and structure of the first version of the Dialogit Protocol, upon which all versions of the Licensed Material are based. d. Licensors means the Primary Licensor and all other authors and owners of all rights, including copyrights and other intellectual property rights, in any components incorporated in later versions of the Licensed Material. e. Secondary Licensor means any person and/or entity that produced Adapted Material. f. Non Commercial means not primarily intended for or directed towards commercial advantage or monetary compensation. g. Share means to provide material to the public or to any third party by any means or process that requires permission under copyright laws, such as reproduction, public display, public performance, distribution, dissemination or communication and to make material available to the public including in ways that members of the public may access the material from a place and at a time individually chosen by them. h. You means the individual or entity exercising using the Licensed Material or Adapted Material under this License. Your has a corresponding meaning.

Section 2 – License Grant. a. License You are granted by Licensors 1. Subject to the terms and conditions of this License, the Licensors hereby grant You a worldwide, royalty-free, non-sublicensable, non-exclusive, irrevocable license to use the Licensed Material as follows: A. Share the Licensed Material, in whole or in part, for Non Commercial purposes only under the terms of this License; and B. produce and Share Adapted Material for Non Commercial purposes only under the terms of this License. 2. Term. The term of the License You are granted by Licensors is specified in Section 6(a). 3. No downstream restrictions. You may not offer or impose any additional or different terms or conditions on the Licensed Material or Adapted Material. 4. No endorsement. Nothing in this License constitutes or may be construed as permission to assert or imply that You are, or that Your use of the Licensed Material or Adapted Material is, connected with, or sponsored, endorsed, or granted official status by the Licensors. b. License You grant Primary Licensor 1. Subject to the terms and conditions of this License, You hereby grant Primary Licensor a worldwide, royalty-free, non-exclusive, irrevocable license to use any Adapted Material You produced as follows: A. Share the Adapted Material, in whole or in part, for Non Commercial purposes only; and B. Edit, modify, arrange, transform, translate and incorporate any part of the Adapted Material within any future version of the Licensed Material as integral part thereof, and Share such future version of the Licensed Material under any terms and for any purpose. 2. Term. The term of the License You grant Primary Licensor is specified in Section 6(e). Section 3 – License Conditions. Your use of the Licensed Material or Adapted Material expressly made subject to the following conditions: a. Attribution. If You Share the Licensed Material or Adapted Material, You must: i. present the following wording in the top part of the Licensed Material or Adapted Material: “The Dialogit Protocol was created by Gita Kiper, and it is protected under copyright and other intellectual property laws. Any use of the Dialogit Protocol is subject to the Dialogit Protocol License, which allows you to share and create modified versions of Dialogit Protocol for non-commercial purposes, provided that you comply with its terms, in particular: (1) providing appropriate credit to the authors (2) sharing any version of the Dialogit Protocol under this license and provide a link to this license (3) indicate what modifications you made in the Dialogit Protocol by providing a version that displays tracking of all modifications (4) by sharing a modified version of the Dialogit Protocol, you grant its primary author a license to incorporate your modifications in future versions of the Dialogit Protocol. Your use of the Dialogit Protocol and any version of it is made at your own responsibility and the licensors disclaims any warranty or liability in connection with your use the Dialogit Protocol or their use of any modified version of the Dialogit Protocol you produced. Please ensure you read and understand the full Dialogit Protocol License before using the Dialogit Protocol. All rights in the Dialogit Protocol are reserved to its respective owners © 2021”; ii. indicate the Licensed Material or Adapted Material is licensed under this License, and include the text of, or the URL or hyperlink to, this License. b. Share Alike In addition to the conditions in Section 3(a), if You Share Adapted Material You produce, the following conditions also apply: 1. You must share the Adapted Material under a new title that references the Licensed Material in the following form: “Dialogit Protocol – [YOUR TITLE]”. 2. You must indicate all modifications you made in the Licensed Material by including the text, URL or hyperlink to a document that displays tracking of the differences between the Licensed Material and Adapted Material. 3. You may not offer or impose any additional terms or conditions on Adapted Material beyond those included in this License.

Section 5 – Disclaimer of Warranties and Limitation of Liability. a. Unless otherwise separately undertaken by the Licensor, to the extent possible, the Licensor offers the Licensed Material as-is and as-available, and makes no representations or warranties of any kind concerning the Licensed Material, whether express, implied, statutory, or other. This includes, without limitation, warranties of title, merchantability, fitness for a particular purpose, non-infringement, absence of latent or other defects, accuracy, or the presence or absence of errors, whether or not known or discoverable. Where disclaimers of warranties are not allowed in full or in part, this disclaimer may not apply to You. b. To the extent possible, in no event will the Licensors be liable to You on any legal theory (including, without limitation, negligence) or otherwise for any direct, special, indirect, incidental, consequential, punitive, exemplary, or other losses, costs, expenses, or damages arising out of this License or use of the Licensed Material or Adapted Material, even if the Licensor has been advised of the possibility of such losses, costs, expenses, or damages. Where a limitation of liability is not allowed in full or in part, this limitation may not apply to You. c. The disclaimer of warranties and limitation of liability provided above shall be interpreted in a manner that, to the extent possible, most closely approximates an absolute disclaimer and waiver of all liability.

Section 6 – Term and Termination. a. The License You are granted by Licensors applies for the term of the copyrights licensed here. However, if You fail to comply with this License, then Your rights under this License terminate automatically. b. Where Your right to use the Licensed Material has terminated under Section 6(a), it reinstates: 1. automatically as of the date the violation is cured, provided it is cured within 30 days of Your discovery of the violation; or 2. upon express reinstatement by the Primary Licensor. For the avoidance of doubt, this Section 6(b) does not affect any right the Primary Licensor may have to seek remedies for Your violations of this License. c. For the avoidance of doubt, the Primary Licensor may terminate or make any modifications to this License at any stage at its own discretion within a 30 day notice that will be published in any platform through which the Licensed Material was distributed by the Primary Licensor. The Primary Licensor may also Share or offer the Licensed Material under different terms or conditions, allow third parties to use the Licensed Material under terms different from those in this License or stop distributing the Licensed Material at any time. d. Sections 1, 5, 6, 7, and 8 survive termination of this License. e. The License You provide the Primary Licensor applies for the term of the copyrights licensed here.

Section 7 – Other Terms and Conditions. a. The Licensors shall not be bound by any additional or different terms or conditions communicated by You unless expressly agreed. b. Any arrangements, understandings, or agreements regarding the Licensed Material not stated herein are separate from and independent of the terms and conditions of this License.

Section 8 – Interpretation. a. For the avoidance of doubt, this License does not, and shall not be interpreted to, reduce, limit, restrict, or impose conditions on any use of the Licensed Material that could lawfully be made without permission under this License. b. To the extent possible, if any provision of this License is deemed unenforceable, it shall be automatically reformed to the minimum extent necessary to make it enforceable. If the provision cannot be reformed, it shall be severed from this License without affecting the enforceability of the remaining terms and conditions. c. No term or condition of this License will be waived and no failure to comply consented to unless expressly agreed to by the Primary Licensor.
